Terms of Service

The terms that govern work carried out by Mark Excell.

These terms apply to all services provided by Mark Excell, sole trader, registered at Minster Lovell, Witney, Oxfordshire, OX29 (referred to throughout as "we", "us" or "the practitioner"). By engaging our services you agree to these terms.

1. Scope of work

All work is carried out against an agreed brief or proposal. Any significant change to the scope of work after agreement may result in a revised cost or timeline. We will notify you of any such change before proceeding.

Work begins once the brief has been agreed in writing and any required deposit has been received.

2. Fees and payment

Fees are agreed in advance of work commencing. We are not VAT registered. All quoted fees are the total amount payable.

For project-based work a deposit of 50% is payable before work begins. The remaining balance is payable on completion and before final files or website access are transferred.

For diagnostic services including the Search Health Check, full payment is required before work begins. Payment is by bank transfer. Bank details are provided on the invoice.

Invoices are due within 14 days of the invoice date. We reserve the right to charge interest on late payments at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.

3. Revisions and amendments

Our standard project fee includes two rounds of revisions based on the agreed brief. Additional revision rounds beyond this will be charged at our standard day rate, agreed with you in advance.

Revisions requested as a result of changes to the original brief are not included in the standard revision allowance and will be costed separately.

4. Timelines and delivery

Estimated timelines are provided in good faith and are dependent on the timely provision of content, feedback and approvals by the client. Delays caused by late delivery of required materials may result in revised timelines.

If a project is paused for more than 30 days at the client's request, we reserve the right to reschedule it in line with current workload and to invoice for work completed to date.

5. Client responsibilities

You are responsible for providing accurate and complete information, content and materials required for the work. You warrant that any materials you provide do not infringe the intellectual property rights of any third party.

You are responsible for obtaining any necessary permissions or licences for content, images or other materials supplied by you for use in the project.

6. Intellectual property

All work created by us remains our intellectual property until full payment has been received. Upon receipt of full payment, all rights to the completed work transfer to you.

We reserve the right to display completed work as part of our portfolio unless you request otherwise in writing before the project begins.

7. Confidentiality

We treat all client information as confidential and will not disclose it to third parties without your consent, except where required by law. This obligation continues after the engagement has ended.

8. Limitation of liability

Our total liability to you in connection with any engagement shall not exceed the total fees paid by you for that engagement.

We are not liable for any indirect, consequential or special loss arising from the use of or inability to use any work delivered by us, including loss of revenue, loss of data or loss of business opportunity.

9. Cancellation

Either party may cancel an engagement by giving written notice. If you cancel after work has begun, you are liable for the cost of work completed to the date of cancellation. The deposit is non-refundable in the event of cancellation by the client.

If we cancel an engagement, we will refund any deposit paid for work not yet started.

10. Governing law

These terms are governed by the law of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We may update these terms from time to time. The date at the top of this page reflects when they were last revised. The terms in force at the time an engagement begins are the terms that apply to that engagement.
